Representative office (RO)
This is the leanest structure, suited to the market entry phase. The company’s presence is limited to acting as a bridge: building relationships, finding partners, and laying the groundwork for later commercial activity.
Branch office
A branch is an extension of the parent company. It suits businesses that already have a client base and need to sign contracts and issue invoices directly in Hong Kong while leveraging the parent’s global brand.
Strategic note: If you want to ring-fence risk so the parent company is not exposed to financial liability, incorporating a Hong Kong limited company (subsidiary) is generally a better option than a branch.
Legal requirements for opening a Hong Kong branch office
Establishing a branch requires strict compliance with Hong Kong’s Companies Ordinance, with the following prerequisites:
- Name: Must match the parent company’s registered legal name in its home jurisdiction.
- Authorized representative: At least 1 authorized representative resident in Hong Kong must be appointed to receive notices from government authorities.
- Registered address: A physical address in Hong Kong where legal records are kept (PO boxes are not accepted).
- Parent company documents: The parent company’s articles of association and its most recent audited financial statements must be provided in full.
- Registration deadline: An application must be filed within 1 month of establishing a place of business in Hong Kong.
How to open a representative office or branch office in Hong Kong
Below is a reference roadmap for investors, including consular legalization — a step where many foreign companies run into difficulty.
Step 1: Prepare and legalize documents
The parent company’s legal documents from its home country (business registration certificate, articles of association, financial statements, etc.) cannot be filed directly in Hong Kong; they must first go through a three-step process:
- Certified translation into English or Chinese.
- Consular authentication by the foreign affairs ministry of the home country.
- Consular legalization at the Chinese embassy or consulate that handles documents for use in Hong Kong.
Step 2: File the registration application
For a branch office:
- File Form NN1 (Application for Registration as Registered Non-Hong Kong Company) with the Companies Registry (CR).
- Government fees (2025 reference): filing fee (approximately HK$1,725) and business registration fee (approximately HK$2,200).
- Processing time: around 10–14 working days.
For a representative office (RO):
- No filing with the CR is required, as an RO is not a registered legal entity.
- It only needs to register with the Inland Revenue Department (IRD) to obtain a Business Registration Certificate (BRC).
- Processing time: fast, usually within 2 weeks.
Step 3: Set up operating accounts
Once registered, the business needs to work with banks to open accounts for internal operations (staff salaries, office rent, government fees, and so on).
- Challenge: Hong Kong banks apply rigorous due diligence checks.
- Requirement: The business should prepare a thorough “proof of business” file (business plan, sample contracts with partners, proof of address, and so on) to demonstrate a clear and legitimate business purpose.
Staffing, reporting, and tax requirements
Staying compliant is essential for operating over the long term in this financial center.
Profits tax obligations
Hong Kong applies a territorial basis of taxation.
- Representative office: Generally has no profits tax liability, because its activities do not generate revenue. An RO must still file its periodic profits tax returns, reporting nil (0) assessable profits.
Branch office: Subject to profits tax on profits arising in or derived from Hong Kong. In 2025, the two-tiered profits tax regime continues to apply:
- 8.25% on the first HK$2 million of profits.
- 16.5% on profits above HK$2 million.
Reporting and staffing
- Audit: A branch must file audited financial statements each year together with its tax return.
- Staffing (MPF): If you employ staff in Hong Kong, the business must enroll them in and contribute to a Mandatory Provident Fund (MPF) scheme as required by local law.
